1 Acceptance of Terms

By accessing or using the services provided by IA One, LLC ("we," "us," or "our"), including our messaging-based business management platform (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not use the Service.

These Terms constitute a legally binding agreement between you and IA One, LLC. By sending a message to any of our business accounts on WhatsApp, Facebook Messenger, or Instagram, you confirm your acceptance of these Terms.

2 Description of Service

IA One operates an AI-powered business management platform accessible through Meta's messaging platforms, including WhatsApp Business API, Facebook Messenger, and Instagram Messaging. The Service provides:

• Inventory management: Track, query, and manage product inventory through conversational commands.
• Purchase order management: Create, track, and manage purchase orders.
• Business intelligence: AI-powered insights and reporting on your business data.
• Conversational interface: Natural language processing to interpret and respond to your business requests.

The Service is designed for use by businesses and their authorized representatives. Features and functionality may change over time as we develop and improve the platform.

3 Eligibility

To use the Service, you must:

• Be at least 18 years of age.
• Be an authorized representative of a business that has subscribed to our platform.
• Have a valid account on one of the supported messaging platforms (WhatsApp, Facebook Messenger, or Instagram).
• Have the authority to bind your organization to these Terms.

The Service is not intended for personal consumer use. By using the Service, you represent and warrant that you meet all eligibility requirements.

4 Account & Access

Access to the Service is granted through your business's subscription and is tied to the messaging platform accounts authorized by your organization.

• Authorization: Your business administrator is responsible for designating which users have access to the Service.
• Credentials: You are responsible for maintaining the security of your messaging platform accounts. We are not responsible for unauthorized access resulting from compromised accounts on third-party platforms.
• Shared access: Multiple authorized users within the same business may interact with the Service. Each user's actions are associated with their individual messaging account.

5 Acceptable Use

You agree to use the Service only for its intended business management purposes. You must not:

• Use the Service for any unlawful, fraudulent, or harmful purpose.
• Attempt to gain unauthorized access to our systems, other users' data, or the Service's infrastructure.
• Send spam, unsolicited messages, or malicious content through the Service.
• Reverse-engineer, decompile, or attempt to extract the source code or underlying algorithms of the Service.
• Use the Service to store or transmit content that infringes on the intellectual property rights of others.
• Overload or interfere with the Service through excessive automated requests or denial-of-service activity.
• Resell, sublicense, or provide access to the Service to third parties without our written consent.

We reserve the right to suspend or terminate access for any user who violates these acceptable use provisions.

6 Intellectual Property

All intellectual property rights in the Service — including software, AI models, algorithms, designs, trademarks, and documentation — are owned by IA One, LLC or our licensors. These Terms do not grant you any ownership rights in the Service.

Your data: You retain all ownership rights to the business data you provide through the Service (inventory data, purchase orders, supplier information, etc.). By using the Service, you grant us a limited, non-exclusive license to process and store this data solely for the purpose of providing the Service to you.

Feedback: If you provide us with suggestions, ideas, or feedback about the Service, we may use them without obligation or compensation to you.

7 Data & Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, store, and protect your data. By using the Service, you consent to the data practices described in the Privacy Policy.

• Your data is stored on secure cloud infrastructure (AWS) in the United States.
• We do not sell, rent, or trade your data to third parties.
• You may request deletion of your data at any time by following our Data Deletion Instructions.

8 Third-Party Platforms

The Service operates through third-party messaging platforms provided by Meta Platforms, Inc. (WhatsApp, Facebook Messenger, Instagram). Your use of these platforms is subject to their respective terms of service and privacy policies:

We are not responsible for the availability, functionality, or policies of these third-party platforms. If a messaging platform modifies its terms, features, or API access in a way that affects the Service, we will use reasonable efforts to adapt but cannot guarantee uninterrupted service.

9 Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

• Warranties of merchantability, fitness for a particular purpose, and non-infringement.
• Warranties that the Service will be uninterrupted, error-free, or free of harmful components.
• Warranties regarding the accuracy, completeness, or reliability of any AI-generated responses or business insights.

10 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL IA ONE, LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages.
• Any loss of profits, revenue, data, or business opportunities.
• Any damages resulting from errors or inaccuracies in AI-generated content.
• Any damages arising from unauthorized access to or alteration of your data.
• Any damages resulting from interruption or cessation of the Service.

Our total aggregate liability for any claims arising from or related to these Terms or the Service shall not exceed the total amount you paid to us for the Service in the twelve (12) months preceding the claim.

11 Indemnification

You agree to indemnify, defend, and hold harmless IA One, LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, or expenses (including reasonable attorneys' fees) arising from:

• Your use or misuse of the Service.
• Your violation of these Terms.
• Your violation of any applicable law or regulation.
• Any content or data you provide through the Service that infringes on the rights of a third party.

12 Termination

Either party may terminate access to the Service as follows:

• By you: You or your business administrator may discontinue use of the Service at any time. To formally terminate your subscription, contact us at info@iaoneve.com.
• By us: We may suspend or terminate your access to the Service at any time, with or without cause, including for violation of these Terms. We will make reasonable efforts to notify you before termination except in cases of serious violation.

Upon termination, your right to use the Service ceases immediately. Data retention and deletion following termination are governed by our Privacy Policy.

13 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law provisions.

Any disputes arising from or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Duval County, Florida, and you consent to the personal jurisdiction of such courts.

14 Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will:

• Update the "Last Updated" date at the top of this page.
• Notify active users via a message on the applicable platform when feasible.

Your continued use of the Service after any changes constitutes acceptance of the updated Terms. If you do not agree to the revised Terms, you must stop using the Service.
